These Terms & Conditions ("Terms") govern your access to and use of the Flowtext messaging platform and related services (the "Service") provided by FlowText LLC ("FlowText," "we," "us," or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify FlowText LLC promptly of any unauthorized use.

2. Description of the Service

Flowtext provides tools for sending and managing high-volume SMS/MMS messaging campaigns, including deliverability monitoring, AI-assisted automation, analytics, and phone-number management. FlowText LLC may add, modify, or discontinue features at any time.

3. Acceptable use & messaging compliance

You are solely responsible for the content of messages you send and for obtaining all legally required consent from recipients. You agree to comply with all applicable laws and carrier requirements, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM, CTIA guidelines, and 10DLC registration rules. You agree not to use the Service to:

  • Send messages to recipients who have not provided appropriate consent or who have opted out;
  • Transmit unlawful, fraudulent, deceptive, harassing, or otherwise prohibited content (including SHAFT categories where restricted);
  • Evade carrier filtering, spoof identities, or circumvent opt-out handling;
  • Violate the intellectual property, privacy, or other rights of any party.

FlowText LLC may suspend or terminate sending, bench phone numbers, or take other protective action to preserve deliverability and comply with carrier and legal obligations.

4. Fees & payment

You agree to pay all fees for the Service as described in your order or plan, including per-message, per-number, and subscription charges. Fees are non-refundable except as required by law. FlowText LLC may change pricing on prospective notice.

5. Intellectual property

The Service, including its software, design, and content (excluding your data), is owned by FlowText LLC and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service subject to these Terms. You retain ownership of the content and data you submit.

6. Termination

You may stop using the Service at any time. FlowText LLC may suspend or terminate your access for violation of these Terms, non-payment, or to comply with law or carrier requirements. Upon termination, your right to use the Service ceases; provisions that by their nature should survive will survive.

7. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. FlowText LLC does not warrant that messages will be delivered, that the Service will be uninterrupted or error-free, or that specific deliverability results will be achieved.

8. Limitation of liability

To the maximum extent permitted by law, FlowText LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to FlowText LLC in the three (3) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless FlowText LLC from any claims, damages, liabilities, and expenses arising from your use of the Service, your content, or your violation of these Terms or applicable law.

10. Governing law

These Terms are governed by the laws of the United States and the state in which FlowText LLC is organized, without regard to conflict-of-laws principles. Disputes will be resolved in the courts located there, unless otherwise required by law.

11. Changes to these Terms

FlowText LLC may update these Terms from time to time. Material changes will be communicated through the Service or by other reasonable means. Your continued use after changes take effect constitutes acceptance.
